Lotus Milagro (Pty) Ltd is committed to sound corporate governance grounded in transparency, accountability and responsible leadership. Our governance framework guides how decisions are made, how risk is managed and how we engage with clients, partners, employees and the communities we serve.

The Board and executive leadership are responsible for setting strategic direction, ensuring effective oversight and maintaining compliance with the Companies Act, King IV principles and applicable South African legislation.

Code of Conduct

Every director, employee, contractor and representative of Lotus Milagro is expected to act with integrity, professionalism and respect. Our Code of Conduct establishes the behavioural standards that protect our clients, our people and our reputation.

Core commitments: honesty in every interaction; zero tolerance for bribery, corruption or fraud; respect for human dignity and diversity; protection of confidential information; responsible use of company assets; and full compliance with laws and internal policies.

Breaches of the Code are addressed through structured disciplinary processes. Employees are encouraged to raise concerns through confidential channels without fear of retaliation.

Business Ethics

We conduct business with fairness, integrity and transparency. Lotus Milagro does not offer, solicit or accept improper payments, gifts or favours intended to influence business decisions.

Conflicts of interest are declared and managed openly. Competitive information is gathered lawfully. Contracts are honoured. Commitments are kept. Every client engagement is priced and delivered on the merit of the work.

Health & Safety

The safety of our people, clients and communities is non-negotiable. Every project is planned, executed and reviewed against the requirements of the Occupational Health and Safety Act (OHSA) and the Construction Regulations.

Site-specific safety plans, risk assessments, method statements and toolbox talks are standard practice. Personal Protective Equipment (PPE) is issued and enforced. Incidents are reported, investigated and used to strengthen future practice.

Quality Assurance

Quality is designed into every engagement — not inspected in at the end. Our QA/QC processes cover specification review, supplier qualification, inspection and test plans, non-conformance management and structured close-out.

We measure quality against agreed technical specifications, client requirements and industry standards. Continuous improvement is embedded through post-project reviews and lessons learned.

Environmental Responsibility

Lotus Milagro is committed to minimising the environmental impact of our operations and supporting the transition to a low-carbon economy. We comply with the National Environmental Management Act (NEMA) and related regulations.

Our environmental commitments include responsible waste management, water and energy efficiency on site, prevention of pollution, and the promotion of renewable energy and sustainable infrastructure solutions in our project portfolio.

POPIA Compliance

Personal information is processed in accordance with the Protection of Personal Information Act, 2013 (POPIA). We collect only the information required for a lawful business purpose, secure it against unauthorised access, and retain it only for as long as necessary.

Supplier Ethics

Suppliers, subcontractors and business partners are expected to uphold the same ethical, safety, quality and environmental standards as Lotus Milagro. Our Supplier Code sets out requirements for lawful conduct, fair labour practices, anti-corruption, health and safety, environmental care and transparent invoicing.

We assess suppliers on capability, compliance, quality history and B-BBEE status. Long-term supplier relationships are built on trust, performance and shared values.
